TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the ELRQ Agency website and services. By engaging with our agency or using this site, you agree to be bound by these terms.

1. SERVICES & ENGAGEMENT

ELRQ provides digital strategy, web development, SEO, and marketing services. The specific deliverables, timelines, and costs for any project will be outlined in a separate Statement of Work (SOW) or Proposal agreement signed by both parties.

2. INTELLECTUAL PROPERTY

Unless otherwise stated in a client agreement:

• Client Ownership: Upon full payment, the client owns the final deliverables (website code, design files, content) created specifically for them.
• Agency Rights: ELRQ retains the right to use the completed work for portfolio and marketing purposes. We also retain ownership of any pre-existing "background technology" or proprietary frameworks used to build the project.

3. PAYMENT TERMS

Standard payment terms are as follows unless otherwise agreed:

• Deposit: A non-refundable deposit (typically 50%) is required to commence work.
• Final Balance: The remaining balance is due upon project completion and before final deployment/launch.
• Late Fees: Invoices overdue by more than 30 days may incur a late fee of 5% per month.

4. LIMITATION OF LIABILITY

ELRQ shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services. While we implement industry-standard security and SEO best practices, we cannot guarantee specific search engine rankings or total immunity from cyber-attacks.

5. TERMINATION

Either party may terminate a service agreement with written notice as specified in the SOW. In the event of termination, the client is responsible for payment for all work completed up to the date of cancellation.

6. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ELRQ is registered, without regard to its conflict of law provisions.
